3. - bGlocal reserves the right, at its sole discretion, to change, modify, add or remove any portion of this Agreement, in whole or in part, at any time, without notification to You, and by choosing to accept this Agreement You also agree to accept future updates from us. We encourage You to visit our Web Site from time to time to review and become familiar with the most current Agreement or any other agreement that are then in effect. By becoming a member, user or visitor to this Web Site, You agree to each and every provision of this Agreement as it currently exists and as may be amended from time to time.

4. - bGlocal is a talent show and a classified ads web page service. Our job is to publish talent show information and classified ads posted by You and other members. Talent shows host do not work for us or are part of our company in any way. They are independent workers that use our site as a platform and are fully responsible for their own acts, ideas, comments or language during shows. You acknowledge and agree that bGlocal or any third parties mentioned at this site shall not be liable to You for any damages whatsoever that may arise from Your registration or participation on our talent shows or that was caused by any talent show host that use our platform. We in no way are responsible for the brokering of deals between parties. We do not handle any money or other such property of any kind that is used in an exchange. We are merely a venue established to so that people can post information about talent shows or items they wish to sell, buy, trade or give out for free. We are not involved in the transaction between parties, and as such, we make no representations concerning the truth or accuracy of any listing, or the quality, quantity, safety or condition of any item listed. You are solely responsible to verify any information about any talent show or for all aspects relate to a possible sale, trade, exchange or any other kind of transaction for a service, item, or any other property, including, but not limited to, contacting interested buyers or sellers, discussing the possible exchanges, deciding on payment, insuring and collecting payment, shipping the item or other property, and every other aspect, like your own personal safety and the safety of others. You understand and agree that in order to visit, use or become a member of this website you must be at least twenty one (21) years old; or be considered a legal adult in the place or jurisdiction where you live, or in the place where you got connected to our site using any means. If you are younger than (21) and would like to become a member of our Website for the only purpose of participating in talent shows listed on our site; you must ask permission to your parents, guardians, school authorities and/or any other responsible authority that you are under. These authorities are the ones that must supervise your use and visits to our Website at any time. You acknowledge and agree that bGlocal, its suppliers, or any third parties mentioned at this site shall not be liable to You for any damages whatsoever that may arise from Your use or misuse of this website. The authorities mentioned before are the ones that must supervise you and allow you to use, visit or stop you from using or visiting this Website at any time. You understand as well that these authorities are the only ones responsible for your visit and the kind of business in what you get into during the time that you visit our Website.

We do not ensure payment from buyer for the item, nor do we transfer legal ownership of the item from seller to buyer. In reference to talent shows prices and awards, each talent show host that used our platform is the one responsible to give you information about this, set form of delivery, amount or any other thing relate to the prices if any. We do not get involved or are responsible for any dispute that may arise from your participation in talent shows and prices if any. Our best advice is to get in contact with the show host. As such, we are in no way liable for any loss, cost, damage or expense suffered or incurred by either party as a result of the sale/purchase, delivery or exchange (of any kind) of any item listed on our Web Site or for any talent show price. You acknowledge, understand and agree that bGlocal provides its service on an AS-IS basis. bGlocal assumes no responsibility for the deletion, timeliness, misdelivery or failure to store any kind of electronic data, information, pictures, etc. posted by a member to our Web Site. bGlocal reserves the right to modify, change, adjust or discontinue, momentarily, temporarily or permanently, the Service or any of its parts, at any time and from time to time. bGlocal shall not be liable to You or any other person for any suspension, modification, change, interruption, or discontinuance of the Service.

5. - Membership and use of Our services forms a binding legal contract between bGlocal and our Website users. Accordingly, Membership is only available to those persons who can form legally binding contracts. In registering Your membership, You represent that (a) all information provided by You is true, accurate, current and complete, (b) You are of legal age under applicable law to form a binding contract, (c) that Your are not a person who is barred from registering for or using the services provided by bGlocal under any international, United States, local or other applicable law, and (d) if You are registering a business account, then You are representing that You are authorized to bind the business entity. You agree to promptly update any information related to Your membership. This information must be current, complete, true and errors free. bGlocal may terminate or suspend Your membership if any of the representations made above are found to be untrue or if any information is found to be false, inaccurate or incomplete. Once You complete the Member registration form, You will be able to Sign In as a Member using Your chosen user name and password. It is Your sole responsibility to safeguard the confidentiality of Your password to access Your bGlocal account. You are solely responsible for any activity occurring under Your account. You must notify bGlocal immediately if You notice any unauthorized use of Your account or any other problem related to the security of it. In order to safeguard Your account, You must properly exit or Sign Out at the end of each session. bGlocal shall in no way be liable for any loss or damage which You might suffer or incur as a result of Your failure to safeguard Your account information or otherwise fail to comply with this paragraph. bGlocal reserves the right, in its sole discretion to immediately suspend or terminate Your membership account or Your access to the Service at any time and without prior notice, due but not limited to: Unexpected technical or security issues or problems; Violation of any provision contained in this Agreement or any other rule, regulation or policy of bGlocal; An order of any court, or request of any governmental or law enforcement agency; Discontinuance or modifications to the Service; Long periods of account inactivity (Four months or more) or Your own request. Upon termination You will no longer be able to access our service with Your user name. All data that has been associated with You and Your account will be deleted from our database.  bGlocal shall not be liable to You or any other person for any termination or suspension of Your account or the Services. By becoming a member You give us the right to email You and keep You informed about any changes, updates, new services, newsletter or for any other reason related to bGlocal. You agree to timely pay all fees charged for the Services if any. Our fee schedule, including the time period an ad will run, is based upon the type of item listed. You must review the fee schedule in effect at the time You list an item. Upon the expiration of the listing period, if You have not timely renewed the listing by payment of the appropriate fee, your ad will be immediately deleted from the server. bGlocal reserves the right to amend the fee schedule from time to time, without prior notice.

6. - You agree to allow bGlocal to collect personal information from You.  Most personal information will be collected during and by Your registration form which includes the following information: First and last name, address, phone number, and email address. After Your personal information is collected, We store it in our database and it is retrieved only when We need it in order to provide the Services under this Agreement.  UNLESS REQUIRED TO DO SO BY LAW, WE DO NOT GIVE OUT OR SELL YOUR PERSONAL INFORMATION TO THIRD PARTIES UNDER ANY CIRCUMSTANCES. We will take all reasonable measures to keep Your personal information private, safe, and secure. You agree, that bGlocal will not be liable to You or any other third party if Your personal information is accessed by third parties as a result of technical problems or malfunctions not caused by bGlocal, hackers and other persons not authorized to access the information, viruses, theft, and any other unauthorized means of acquiring private, secure information. You acknowledge, agree and give permission to bGlocal to access, preserve, and disclose all Your membership data information if they are required by law or if We belief that such information is necessary to comply with any legal process, protect the rights, property, or personal safety of bGlocal; Respond to claims related to the rights of others; enforce this Agreement, Your request, or to protect the public. In reference to our talent shows performers, since our audience have to vote to select the winners, it is necessary to display some personal information about the performers. This personal information is not sensitive and we won’t display your phone number, email or any other sensitive information. However, we must display, your username, first, last and stage names, country, state and city, for the audience to make a selection when voting and to make it easier when searching for your profile page. Please refrain from register as performer for our talent shows if for any reason you disagree with this policy or you may find a creative alternative way to conceal your identity.

7. - This Web Site is protected by copyright as a collective work and/or compilation, pursuant to U.S. copyright laws, international conventions, and other copyright laws. The contents of this Web Site are only for Your personal, non-commercial use. All materials contained on this Web Site are protected by copyright, and are owned or controlled by bGlocal or the party credited as the provider of the Content. You will abide by any and all additional copyright notices, information, or restrictions contained in any Content on this Web Site. You may download and make copies of the Content and other downloadable items displayed on this Web Site for personal, noncommercial use only, provided that You maintain all copyright and other notices contained in such Content. 8. - We may change, suspend or discontinue any aspect of this Web Site at any time, including the availability of any of this Web Site features, database, or Content. bGlocal may also impose limits on certain features and services or restrict Your access to parts or all of this Web Site without notice or liability.

(iii)constitute or encourage conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate law, (iv) violate, plagiarize or infringe the rights of third parties including, without limitation, copyright, trademark, patent, rights of privacy or publicity or any other proprietary right, (v) contain a virus or other harmful component, (vi) contain any information, software or other material of a commercial nature, (vii) contain advertising of any kind, or (viii) constitute or contain false or misleading indications of origin or statements of fact; (b) You will not copy, or attempt to engineer, change, destroy, tamper with, or damage any of our bGlocal computer language codes, software, hardware, network, server, or otherwise attempt to interfere with or disrupt the Service.

12. - You acknowledge and agree that in order for bGlocal to bring the Services to You at affordable rates, bGlocal relies on revenue generated from businesses that advertise on our Web Site (Advertising Businesses).  Any business dealings You may have with any of the Advertising Businesses will be solely between You and the advertiser. You agree that bGlocal shall not be liable or responsible for any loss or damage of any sort that You may suffer or incur in connection with such dealings or as a result of the presence of any such advertisements on the Service. bGlocal does not represent or endorse the accuracy or reliability of any advice, opinion, statement, or other information displayed or distributed through this Web Site. Each bGlocal item posting form contain an "affiliated institution" box. You are completely responsible for the institution or business name entered into this box. We will not be liable in any way for any name entered into this box by You or anybody else. We are not affiliated, related or in business with the institution or the business name that You are entering into this box. We at bGlocal provide this box empty for You to fill it if You wish, at your own judgment and discretion. 18. - All bGlocal signs vendors agree that there isn’t any kind of contract between them and bGlocal but the following agreement: bGlocal may request at any time to any or all of our vendors to stop making and/or selling signs on our behalf without any explanation at all. If this is the case, bGlocal will remove any vendor’s information from our Website and newspaper. Vendors' information will be display on our Website and on our printed newspaper for as long as they are approved to sell our signs. Vendors that decide to discontinue selling our signs must notify bGlocal immediately about their decision in order to be removed from our site and newspaper. All vendors must agree with this and all other articles of this "Terms and Conditions of Use" before they start making and/or selling our signs. All signs vendors operate independently from bGlocal under their particular business name and as an independent business or legal entity.

19.-Any bGlocal.com member or visitor that would like to buy any of our signs must agree to the following: By buying a bGlocal.com sign You confirm that You read and agree with this Term and Condition of Use. When You buy a sign You are paying only for the sign and not for any of our services.Buying a sign does not guaranty that You are going to be able to list a classified with us; this do not give You the right to list with us either. bGlocal.com provides its service on an AS IS and AS AVAILABLE basis. Rules and regulations for signs differ from city to city. Signs buyers should consult their local officials before displaying any bGlocal.com sign. You acknowledge and agree that bGlocal and our sign vendors shall not be liable to You, to any local municipality, person or to anybody else for any damage, accident, injuries or anything else that may arise from displaying any kind of bGlocal.com sign by You. A display of any bGlocal.com signs is the sole responsibility of the sign buyer. You are the only one responsible to find about your local rules and regulations for signs display and to comply with it. All sign buyers must agree with this and all other articles of this "Terms and Conditions of Use" before buying a bGlocal.com sign.

20.- We use cookies on this site to provide the services that we offer and to enhance your user experience. By visiting our site and using our services you are giving your consent for us to set cookies. Your browser must be set to accept cookies at all times in order for us to fully provide service to you when you are using our Website. Knowing this, the use of this site is at your discretion.

21.- We offer online advertisement under our 'AdProgram' at our Website and we reserve the right to cancel it at any time. If you become one of our AdProgram client, you could upload a banner and a link logo/picture to our Website for display. The banner will rotate for display with other banners and ads on our Website. Our service is offered on a first come first serve basis. Our Website is strictly commercial; therefore we will only accept advertisement that offers a product or a service which complies with our Terms of Service. As soon as you are approved by us to participate in our program and become one of our clients, you may upload your banner and small ad picture to our Website and we will start displaying them after we OK the pictures. Your online ads will display on our Website for as long as you have a positive printing balance in your account with us. If you would like your online ad to keep displaying nonstop, you must check your printing balance to be sure that it is always positive. You understand that this ad program is offered under a no refund policy and that all sales are final sales. If for any reason we find that our service rendered to you was unsatisfactory due to error or any kind of fault on our part, we will give you credit only. We assume no responsibility or liability for claims made for any products, business or services that advertise on our Website. Advertisers are the sole responsible for any material submitted to us and published under their name on our Website. If you have any question or concern about such material you should contact them first. Views and opinions expressed by advertisers do not necessarily represent those of bGlocal. We will not knowingly accept or publish false, misleading, inappropriate material or any kind of material that violate the law. We assume no responsibility for errors in advertisements published on our Website. It is the advertiser responsibility to upload their ads to our Website free of errors and to check the online display version before publishing. Pictures and/or ads published on our Website may contain content copyrighted by another entity or person, we claims no copyright to such content. 22.-About our online talent shows, artist profile and show hosts. We are in the business of organizing online talent shows on behalf of our Website users and performers. You could add pictures, video links and your artist information to your online artist profile with us as long as you have a bGlocal artist account. We save your video links to our database and we select from this database the videos that we display on our live talent shows. You understand and agree that we will suspend or cancel your membership if you upload pictures or video links that violate our Terms of Service. You understand and agree that we may display any of your pictures on any of our social media accounts for the purpose of promoting our talent shows or any of our Website activities. We may display one of your videos on our online live shows if selected. You may list your video links with us for online talent shows participation or to promote your artistic enterprise. You should not submit to our Website any video link that does not comply with our terms of service or that violates local, state or federal law. You are the only one responsible for the video links that you submit to our Website. Your videos must not include third-party intellectual property or any copyrighted material under the name of others unless you have permission from that party or are otherwise legally entitled to do so. You are the only one legally responsible for your video content and for any breaking of the law or any copyright violation. We have the right to analyze your videos content to look for any kind of violation, spam, malware or any other illegality even though you could only upload videos links to our Website. You retain ownership rights of your videos; however, by submitting your video links to us, you agree and grant us the rights and permission to display them on our online live shows and to include any of them in our final shows video production if they are selected. You grant us the rights and permission to select a segment from your video or the complete video and display it online in any of our social media accounts like YouTube, Facebook or any other. By providing a video link to us, you grant us a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use your video content, reproduce, edit, distribute, prepare derivative works and display it in connection with our service and our business. You grant us the right to promote or redistribute part or all of your video content on any social media platform. You also grant each of our users a worldwide, non-exclusive, royalty-free license to access your content through our service or through any other social media platform where we may upload part or the entire video. Our users may use your video content, including to reproduce, distribute, prepare derivative works, display, and perform it, only as enabled by a feature of the service that is displaying your video; such as video playback or embeds. This license does not grant any rights or permissions for a user to make use of your Content independent of the Service. The licenses granted by you continue for as long as your video is part of one of our final show video production even though you may remove or delete your links from our Website. This is due to the fact that most or all of your video content, if selected for one of our show, will be part of our final show video production. You may remove any of your video links from our Website at any time; however if you remove it after the video was selected for one of our online shows and it was already part of one of our show video production, you will not be able to delete the video or its content from the final production but you still could delete the video link from our Website. If for any reason you do not want your videos to be part of any of our online shows or production, you must delete them as soon as possible and before it may be selected for one of our shows. You should not add your video links to our Website if they do not meet this contract specification. We will remove your video links immediately if they violates our Terms of Service. You must remove a video link immediately if it violates our Terms of Service. If we reasonably believe that your video links are a breach of our Terms of Service or they may cause harm to our Website, our users, or third parties, we may remove them at our discretion without notifying you in advance. You may get in contact with us if you believe your copyright has been infringed by any of our performers. We may delete the video link as soon as we conclude an investigation about the particular case and find enough evidence.

Those that collaborate with us as Show Hosts are not bGlocal employees, representatives, associates or have any other kind of relationship with us. Show Hosts help and collaborate with us but they are completely independent from us. bGlocal is not responsible for their conduct, language or any breaking of the law. Each Show Host is responsible for their own action. If you are willing to collaborate with us as a Show Host, you understand and agree with the following: You will host online live talent shows together with our show technology coordinators on our online channels. As a team, you both will decide what is going to be air during the show and any other matter relate to the show. You as a Show Host are aware that You are responsible for your own conduct, language, comments or any other thing while You are on the air or interacting with the online audience in any other way. Show Host conduct, language, comments or any other thing are not necessarily the view of our Company. We may temporarily or permanent suspend any Show Host if any issues arise in relation to his conduct or interaction with our online audience. Show Host will join the streaming with his own technology and equipment (hardware and software) from their location by contacting our production team with the software that you both agreed for communication. After a connection is establish, one of our representatives will work together with Show Host to bring the online live talent show to our audience. Show Host and our representatives are the ones that together select dates and time for shows. After an agreement on this, we will post the show information online on our Website, bGlocal.com. We would like Show Hosts to have at least one show per week or about four shows per months but no more than ten. We are flexible on this matter and it is up to the Show Host to have as many monthly shows as desire. All shows must be preapprove by us before going live. Show Host agree and understand that he/she will not received any payment, salary, monetary profit or any other kind of benefits from us while collaborating with us as Show Host. Show host understand that he/she is doing it for the only purpose of producing a final show video recording. Both parties understand and agree that their only financial benefits could come from the monetization of the final show video production that both parties have the right to upload to their respective online channels. There is not anyother financial agreement between Show Host and our company beside what it is clearly written on this contract. If anyother thing should be consider in relation to this financial agreement, it will be putting in writing in an additional contract. The Show Host understand and agree that the final show video production belongs to bGlocal and it is entirely our property, however, the Show Host has the right to download the video and upload it to any of his Internet channels for monetization. Show Host is not a full time or part time employee with us and do not have any business relationship with our Company besides what it is clearly describe on this Terms of Service. Show Host is completely independent from our Company and offer his/her show hosting service in exchange to have the right to download and upload to his/her own private online channel a copy of our final show video production. Show Host understand and agree that we, Bglocal, and our online channels are the only one that have the right to live stream our shows. Show Host, any Website, TV channel or any other media company that have live streaming capability, understand that streamings any of our shows without our permission is ilegal and a copyright violation. We the company are in charge of listing coming online live shows on our Website, select show participants or performers; live streaming and show production, show video recording and online voting to select winners by the end of the show. We offer our Website free of charge to all Show Hosts, performers, audience and users. Anybody willing to become a Show Host could send us a solicitation message and we’ll get back if we are in need of Show Hosts. Show Hosts collaborate with us for as long as they are willing to do so. The Show Host or the Company may terminate their collaboration any time and for any reason that he/she may consider without having to explain anything to the other party. An email, text, phone call or any other kind of notification from any of the parties expressing the intention is more than enough to terminate their collaboration. Show Host understands and agree that before and after he/she stop collaborating with us, all our online videos where Show Host were part of and that were uploaded by us to our online channels or to any other Internet portal, belong to us and are our property. We may delete these videos or leave them online for as long as we would like to. Show Host is responsible to provide his/her own technology, hardware, software, Internet connection and any other equipment necessary for the show in order to be able to work remotely from his/her location. Show Host must have a camera and a microphone connected to his/her computer all time. Show Host understand, agree and give us permission to video record his/her voice and image during our live streaming and save it to our final show video production. Show Host agree to provide us with his/her own profile picture and give us permission to display it online on our Website for as long as he/she is collaborating with us. Show Host understand and agree that by registering as a member of our site bGlocal and/or by collaborating as a Show Host with us, he/she agrees to all terms of this contract.

23.- You must read and agree with our Terms of Service before you list or buy an item under the nonprofit donation links section. In addition, you understand that every article of our Terms of Service related to classifieds business transactions, also applies to the nonprofit donation links section. This includes but is not limited to the following: You are responsible for your own personal safety and the safety of others; you are the only one responsible for all kinds of transactions like: Sale, trade, exchange or any other. You understand that nonprofits do not get involve in business activities or transactions with users or members of this Website. They do not sell, initiate, supervise or promote activities of any kind on our Website. They are not members of our Website either. Therefore you understand, agree and accept that they are not liable to you in anyway or under any circumstances, whatever the outcome may be of doing business with other users or members of our Website. Nonprofit donation links are suggested to us by members or users of our Website. Their intention is to promote the nonprofit link for donations. You understand and agree that in order to use this service, you must be at least twenty one (21) years old; or be considered a legal adult in the place or jurisdiction where you live, or in the place where you connected to our site.

24. - THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW JERSEY, WITHOUT REGARD TO CONFLICTS OF LAWS PROVISIONS. SOLE AND EXCLUSIVE JURISDICTION FOR ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL BE AN APPROPRIATE STATE OR FEDERAL COURT LOCATED IN CAMDEN COUNTY, NEW JERSEY.

25. - This Agreement constitutes the entire agreement between bGlocal and You with respect to Your use of this Web Site, and there shall be no other party beneficiaries to this Agreement. Any cause of action You may have with respect to Your use of this Web Site must be commenced within one (1) year after the claim or cause of action arises or be forever barred. You acknowledge and agree that under not circumstances bGlocal will refund service money fees to You. If any mistake is found bGlocal will correct the mistake and credit your account. In case of any claim arising from Your use of the service that we provide, bGlocal liability to You will be equal to and no more than the service money fee amount that you paid us for the particular service under investigation. If for any reason a court of competent jurisdiction finds any provision of the Agreement, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the Agreement, and the remainder of this Agreement shall continue in full force and effect. Company disclaims any and all responsibility for content contained in any third party materials provided through links from the Company Interact site. You agree that by accepting this Agreement You are forming a legally binding contract. You also agree that You accept this ENTIRE Agreement.  If You do not accept any terms of this Agreement, You should exit this site immediately.
